1. Acceptance of Terms

By accessing or using ContactSmith ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

ContactSmith is a contact data cleaning and management service that allows users to:

  • Upload contact files (CSVs, vCards, PDFs, images)
  • Process contacts using AI-powered parsing and extraction
  • Clean, deduplicate, and enrich contact data
  • Download processed contacts in CSV format

3. User Accounts

To use the Service, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

You must provide accurate and complete information when creating your account.

4. Credits and Payment

Credit System

The Service operates on a credit-based system. One credit equals one contact cleaned. New users receive 50 free credits upon signup.

Purchases

Credit purchases are processed through Stripe. All prices are in USD. Purchases are final and non-refundable except as required by law.

Credit Usage

Credits are consumed when contacts are processed. You are charged for unique contacts only—duplicates removed during processing do not consume additional credits.

Expiration

Purchased credits do not expire. Free credits do not expire.

5. Acceptable Use

You agree not to use the Service to:

  • Upload illegal, harmful, or offensive content
  • Process contact data you do not have the right to use
  • Violate any applicable laws or regulations
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Use the Service for spam or unsolicited communications
  • Scrape or harvest data from the Service

6. Your Data

Ownership

You retain all ownership rights to the contact data you upload. We do not claim ownership of your data.

License

By uploading data, you grant us a limited license to process your data solely for the purpose of providing the Service.

Responsibility

You are responsible for ensuring you have the legal right to upload and process any contact data. You represent that processing this data through our Service does not violate any applicable privacy laws or third-party rights.

7. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue the Service at any time with or without notice.

8. Accuracy of Results

Our AI-powered processing aims for high accuracy but is not perfect. We do not guarantee 100% accuracy in contact extraction, parsing, or enrichment. You should review processed data before use.

9. Intellectual Property

The Service, including its original content, features, and functionality, is owned by ContactSmith and protected by copyright, trademark, and other intellectual property laws.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CONTACTSMITH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless ContactSmith and its officers, directors, employees, and agents from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

13. Termination

We may terminate or suspend your account immediately, without prior notice, for any reason, including breach of these Terms. Upon termination, your right to use the Service will cease immediately.

14. Governing Law

These Terms shall be governed by the laws of the United States and the State of Delaware, without regard to conflict of law provisions.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes by email or through the Service. Continued use after changes constitutes acceptance of the new Terms.
